Terms of Use
Please read these Terms of Use carefully before using BillWare. By accessing or using the BillWare platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. About BillWare and Apoorva Corporation
BillWare is a trade name (DBA) of Apoorva Corporation, a Colorado corporation with its principal place of business at 11811 Upham Street, Unit B, Broomfield, Colorado 80020 (“Apoorva,” “we,” “us,” or “our”). BillWare operates as a cloud-based invoicing and payment platform available at www.getbillware.com and associated subdomains (collectively, the “Platform”).
References to “BillWare” throughout these Terms refer to services offered by Apoorva Corporation under the BillWare trade name.
2. Definitions
- “Merchant” means a business or individual who registers for and uses the BillWare platform to send invoices, onboard as a payment merchant, and collect payments from customers.
- “Customer” or “Payer” means a person or entity who receives invoices and makes payments through the BillWare customer portal.
- “User” means any person accessing the Platform, including Merchants and Customers.
- “Payment Gateway Partner” means third-party payment processors integrated into BillWare, including but not limited to MerkPay and Fortis.
- “Account” means a registered Merchant or Customer account on the Platform.
3. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding contract to use BillWare. By using the Platform, you represent and warrant that:
- You are at least 18 years old;
- You are legally authorized to conduct business in your jurisdiction;
- You have the authority to bind any entity on whose behalf you are acting; and
- Your use of the Platform complies with all applicable laws and regulations.
BillWare services are available to United States-based businesses only, unless expressly stated otherwise.
4. Account Registration and Merchant Onboarding
To access Merchant features, you must complete our registration and identity verification process, which includes:
- Providing accurate business and personal information, including your legal business name, Tax Identification Number (TIN/EIN), and ownership details;
- Completing Know Your Customer (KYC) identity verification as required by applicable law and our Payment Gateway Partners;
- Connecting a valid U.S. bank account for settlement of funds; and
- Selecting a pricing and payment gateway configuration during onboarding.
You agree to provide accurate, current, and complete information and to update such information promptly when it changes. Apoorva Corporation reserves the right to suspend or terminate accounts where information is found to be false, misleading, or incomplete.
5. Payment Processing and Financial Terms
BillWare facilitates payment collection through integrated Payment Gateway Partners. By using BillWare’s payment features, you acknowledge and agree that:
- Payment Gateway Partners. Payment processing is provided by third-party processors (MerkPay, Fortis, or others as designated). Your use of payment processing is subject to their respective terms of service and privacy policies in addition to these Terms.
- Transaction Fees. Fees are assessed per the pricing plan selected during onboarding. Current rates are published on the BillWare website and may be updated with notice. ACH debit transactions are subject to a per-transaction fee plus return fees. Card transactions are subject to percentage-based fees plus per-transaction fees. All fees are disclosed during onboarding and on the Plans page of the website.
- Settlement. Funds collected from Customers are settled to your connected bank account net of applicable fees, subject to your Payment Gateway Partner’s settlement schedule and hold policies.
- Chargebacks and Disputes. You are responsible for chargebacks, reversals, and disputes initiated by Customers. Chargeback fees apply as disclosed in your pricing plan. Apoorva Corporation and its Payment Gateway Partners may withhold funds pending resolution of disputes.
- Refunds. You are solely responsible for issuing refunds to your Customers. BillWare provides tools to process refunds but does not guarantee refund eligibility or timing.
- Holds and Reserves. Payment Gateway Partners may impose rolling reserves, holds, or payment delays based on risk assessment, transaction volume, chargeback history, or regulatory requirements. Apoorva Corporation is not liable for holds imposed by Payment Gateway Partners.
- Prohibited Transactions. You may not use BillWare to process payments for illegal goods or services, gambling, adult content, weapons, narcotics, or any activity prohibited under applicable law or Payment Gateway Partner terms.
6. KYC, AML, and Regulatory Compliance
As a financial technology platform facilitating payment processing, BillWare is subject to federal and state financial regulations. By using BillWare, you agree to:
- Cooperate fully with identity verification (KYC) procedures as required under the Bank Secrecy Act (BSA) and FinCEN guidelines;
- Not use the Platform in connection with money laundering, terrorist financing, fraud, or other financial crimes;
- Provide any additional documentation requested to verify your identity, beneficial ownership, or business legitimacy;
- Comply with the Office of Foreign Assets Control (OFAC) sanctions lists — you represent that you are not a Specially Designated National (SDN) or otherwise prohibited under U.S. sanctions law; and
- Notify BillWare promptly of any material change in your business structure, ownership, or activities that may affect compliance obligations.
Apoorva Corporation reserves the right to file Suspicious Activity Reports (SARs) or take other regulatory actions as required by law, without prior notice to you.
7. ACH and Electronic Payments
ACH transactions processed through BillWare are subject to the rules and regulations of the National Automated Clearing House Association (NACHA). By initiating or authorizing ACH transactions, you agree to:
- Obtain proper authorization from Customers before initiating ACH debits on their behalf;
- Retain authorization records for a minimum of two (2) years;
- Comply with NACHA Operating Rules as they apply to your use of ACH services; and
- Accept liability for unauthorized ACH transactions initiated through your account.
8. Invoicing and Billing Conduct
Merchants agree to use BillWare’s invoicing features only for lawful, legitimate commercial transactions. You may not:
- Issue fraudulent, duplicate, or inflated invoices;
- Use BillWare to bill for goods or services not actually delivered or rendered;
- Circumvent payment gateway rules by splitting transactions or otherwise structuring payments to avoid detection; or
- Invoice Customers for amounts materially inconsistent with agreed-upon terms without their consent.
9. Customer Portal and Payer Obligations
Customers accessing the BillWare self-service payment portal at customer.getbillware.com agree to:
- Provide accurate payment information when submitting payments;
- Not attempt to reverse, chargeback, or dispute payments made for legitimate goods or services received;
- Keep login credentials confidential and notify BillWare of any unauthorized access; and
- Use the portal solely for making legitimate payments to Merchants.
BillWare serves as a technology intermediary between Merchants and Customers. Disputes regarding goods or services must be resolved directly between the Merchant and Customer. BillWare is not a party to those transactions.
10. Data Security and PCI Compliance
BillWare employs industry-standard security measures including AES-256 encryption, tokenization of payment data, and secure HTTPS connections. Payment card data is processed by Payment Gateway Partners who maintain PCI DSS compliance. Apoorva Corporation does not store full card numbers on its servers.
You are responsible for maintaining the security of your account credentials. Merchants are responsible for ensuring their own systems and integrations meet applicable security standards when connecting to BillWare.
11. Intellectual Property
The BillWare platform, including its software, design, content, trade name, and trademarks, is owned by Apoorva Corporation and protected under applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes. You may not:
- Copy, modify, or create derivative works of the Platform;
- Reverse engineer or attempt to extract source code;
- Resell, sublicense, or transfer access to third parties without written consent; or
- Use BillWare’s trade name, logo, or branding without prior written authorization from Apoorva Corporation.
12. Prohibited Uses
You agree not to use BillWare to:
- Violate any applicable local, state, federal, or international law or regulation;
- Transmit malware, viruses, or other harmful code;
- Attempt unauthorized access to BillWare systems or other users’ accounts;
- Conduct phishing, spoofing, or other deceptive practices;
- Interfere with or disrupt the integrity or performance of the Platform; or
- Harvest or collect user data from the Platform without authorization.
13. Suspension and Termination
Apoorva Corporation may suspend or terminate your access to BillWare at any time, with or without notice, for:
- Violation of these Terms;
- Fraud, misrepresentation, or illegal activity;
- Excessive chargebacks or payment disputes;
- Failure to complete or maintain KYC verification; or
- Risk management determinations by Apoorva Corporation or its Payment Gateway Partners.
Upon termination, your right to use the Platform ceases immediately. Outstanding invoices, pending settlements, and fund holds may remain in effect pursuant to Payment Gateway Partner terms. You may request export of your data within 30 days of termination.
14. Disclaimer of Warranties
THE BILLWARE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. APOORVA CORPORATION DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APOORVA CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF BILLWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL APOORVA CORPORATION’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO BILLWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
16. Indemnification
You agree to indemnify, defend, and hold harmless Apoorva Corporation and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any transaction between you and a Customer; or (e) any content or data you submit through the Platform.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or the BillWare Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Broomfield, Colorado.
Before initiating formal legal proceedings, the parties agree to attempt good-faith resolution of any dispute through written notice and a 30-day negotiation period.
18. Changes to These Terms
Apoorva Corporation reserves the right to update these Terms at any time. We will notify registered Merchants of material changes via email or in-platform notification at least 15 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with the BillWare Privacy Policy and any additional agreements entered into between you and Apoorva Corporation, constitute the entire agreement between you and Apoorva Corporation with respect to the BillWare Platform and supersede all prior agreements, understandings, or representations.
